Introduction:

There are various forms of organization through which one can carry out activity relating to literary, scientific, charitable and other activities not for profit.

Society is one such option apart from Trust, and Section 8 Company.

Steps in forming Society

Step 1: Conceptualization:

The first step is to lay down the issues that the NGO wants to address, and identify the mission and vision.

Step 2: Forming the Governing Body

Before registering the organization, there is need to have a governing body in place that will be responsible for all activities and decisions of the organization. The governing body will be involved in all matters of strategic relevance, including strategic planning, financial management, human resources and networking.

Step 3: Formulation of Byelaws

Any seven or more persons, above the age of eighteen years can be associated by subscribing their names to a memorandum of association and otherwise complying with the requirements of this Act and the rules made thereunder, in respect of registration, form themselves into a society under this Act.

Step 4: Registration

Once above steps are followed,  then one need to draft Memorandum of Association of every society

Following needs to be stated in the Memorandum:

(a) the name of the society;

(b) the objects of the society;

(c) the names, addresses and occupations of the members of the governing body to whom, by the rules of the society, the management of its affairs is entrusted;

(d) the place at which the registered office of the society is to be situate.

(2) The rules and regulations of the society, which contain provisions relating to admission of members, general meetings, proceedings at such meetings including voting by members, the governing body and proceedings of meetings of the governing body.

(3) The memorandum and rules and regulations of the society shall be printed or typewritten, be divided into paragraphs numbered consecutively and be signed by each subscriber to the memorandum of association (who shall add his address, description, age and occupation, if any) in the presence of at least one witness who shall attest the signature and shall likewise add his address, description and occupation.

The Society needs to be registered in the Sub register office within the jurisdiction where the registered address is given.
